The arbitration shall be decided by a single arbitrator appointed in accordance with the applicable arbitration rules. The arbitrator shall have the authority to award any relief that would be available in a court of competent jurisdiction, including injunctive relief. The arbitral award shall be final and binding upon both parties, and judgment upon the award may be entered in any court having jurisdiction.

Notwithstanding the foregoing, Support Dun reserves the right to seek injunctive or other equitable relief from a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of our intellectual property rights, confidential information, or other proprietary interests. You agree that any claim or cause of action arising out of or related to these Terms, the website, or the services must be filed within one year after the claim or cause of action arose, or it shall be forever barred. You further agree to resolve any disputes with Support Dun on an individual basis and not as part of any class, consolidated, or representative action.

18. General Provisions

Support Dun may freely assign, transfer, or delegate these Terms or any of its rights and obligations hereunder, in whole or in part, without your consent or notice to you, including in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets. Subject to the foregoing, these Terms shall be binding upon and inure to the benefit of the parties hereto and their respective successors and permitted assigns.

Force Majeure. Support Dun shall not be liable for any failure or delay in the performance of its obligations under these Terms or any service agreement if such failure or delay is caused by events or circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, epidemics, pandemics, war, terrorism, civil unrest, labor strikes or lockouts, internet or telecommunications failures, power outages, government action or regulation, embargos, or any other events of force majeure. In the event of any such occurrence, the performance of our obligations shall be suspended for the duration of the force majeure event, and the time for performance shall be extended accordingly. We shall make reasonable efforts to notify you of the occurrence of any force majeure event and to resume performance as soon as reasonably practicable.

No Third-Party Beneficiaries. These Terms are solely for the benefit of you and Support Dun and are not intended to confer upon any other person or entity any rights, benefits, or remedies of any nature whatsoever. No person or entity other than you and Support Dun shall have any right to enforce any provision of these Terms.

Headings and Interpretation. The section headings used throughout these Terms are for convenience and reference purposes only and shall not affect the construction or interpretation of any provision. In these Terms, unless the context otherwise requires: words importing the singular shall include the plural and vice versa; words importing any gender shall include all genders; the words including and include shall be deemed to be followed by the words without limitation; and the word or is not exclusive.

Relationship of the Parties. Nothing in these Terms creates or shall be deemed to create a partnership, joint venture, agency, employment, or fiduciary relationship between you and Support Dun. You acknowledge that you are dealing with Support Dun as an independent contractor, and neither party shall have the authority to bind or commit the other party in any manner whatsoever without the prior written consent of the other party.

Electronic Communications. When you use the Support Dun website or send electronic communications to us, you are communicating with us electronically, and you consent to receive communications from us electronically. We may communicate with you by email, by posting notices on the website, or through other electronic means. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.
